This Coach Agreement ("Agreement") is entered into by and between Atmadhruti ("we," "our," or "us") and any individual or entity registering as a Coach on the Atmadhruti platform ("Coach," "you").
BY REGISTERING AS A COACH, YOU AGREE TO COMPLY WITH THIS AGREEMENT AND ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT OFFER SERVICES THROUGH ATMADHRUTI.
1. DEFINITIONS
1.1. Coach – The individual or entity registering as a Coach on the Platform, operating within the United Kingdom.
1.2. Coaching Services/ Services – Coaching sessions, workshops, content contributions, goal-planning guidance, and other professional services provided by Coaches on the platform as per their specified niche.
1.3. User – Any individual accessing coaching services through Atmadhruti, including those subscribing to coaching plans or attending workshops.
1.4. Platform – The Atmadhruti website and its associated tools, including the Wheel of Life self-assessment, goal planning, session scheduling, and coach selection services.
1.5. Confidential Information – Any proprietary, personal, or sensitive data shared during coaching sessions or obtained through platform use.
1.6. Intellectual Property (IP) – All copyrighted material, trademarks, coaching methodologies, and content developed, shared, or used on Atmadhruti.
1.7. Commission: The percentage of each payment made by a User to the Coach that Atmadhruti will retain in exchange for providing the Platform, coaching and administrative services, and payment gateway access.
1.8. Gross Payment: The total payment made by the User for the services booked on the Platform before the deduction of any taxes, fees, or commissions.
1.9. Force Majeure – Events beyond the reasonable control of Atmadhruti, including but not limited to natural disasters, internet failures, governmental actions, pandemics, or technical malfunctions, which may disrupt services temporarily or permanently.
2. ELIGIBILITY & REGISTRATION
2.1. Minimum Requirements – To register as a Coach, you must:
- Be at least 18 years old.
- Hold recognized certifications and/or demonstrated experience in coaching.
- Provide accurate personal and professional details during registration.
- Comply with all legal, ethical, and professional standards.
2.2. Approval & Verification – Atmadhruti reserves the right to verify Coach credentials, conduct background checks, and approve or reject applications at our sole discretion.
2.3. Background Verification & Compliance – Atmadhruti may request additional documentation, such as certifications, licenses, or references, to ensure the quality and legitimacy of coaching services. Failure to provide requested documentation may result in application rejection or account suspension.
2.4. Conflict of Interest Disclosure – Coaches must disclose any personal or professional conflicts of interest before engaging with Atmadhruti or a User. Failure to do so may lead to account suspension.
2.5. Account Maintenance – Coaches must keep their profile details updated, including qualifications, availability, and pricing.
2.6. Independent Contractor Status – Coaches operate as independent contractors, and not as employees or agents of Atmadhruti.
2.7. Compliance with Atmadhruti’s Terms of Service & Policies – Coaches must adhere to all general policies applicable to platform users, including data protection, ethical conduct, and fair use of platform resources.
3. SCOPE OF SERVICES
3.1. Coaching Services – Coaches shall provide coaching sessions, assessments, and personalized guidance to Users within their expertise.
3.2. Workshops & Goal Planning – Coaches may conduct paid online and offline workshops to help Users create structured goal plans, which may then be uploaded to the platform as part of their coaching journey.
3.3. Content Contribution – Coaches are encouraged to contribute blogs, articles, and videos to enhance User engagement and establish their professional credibility.
3.4. Engagement Requirement: The Coach agrees to maintain an active profile with at least 12 pieces of content (written or video-based) published per quarter. The Coach must also update their availability, session types, and coaching packages regularly.
3.5. Non-Engagement Consequences: If the Coach fails to contribute the required content or show engagement with Users for a period of 6 months, the Atmadhruti reserves the right to suspend or remove the Coach’s profile from the Platform until the Coach meets the required engagement metrics.
3.6. Modes of Service Delivery – Coaching services may be provided via:
- Online video/audio calls.
- In-person sessions (if mutually agreed upon with Users).
- Pre-recorded or written coaching materials.
3.7. Session Bookings – All coaching sessions must be booked through the Atmadhruti platform at the published fees. Off-platform engagements for bookings are strictly prohibited which means no solicitation of Atmadhruti’s Users.
3.8. No Guarantee of Clients – Atmadhruti does not guarantee bookings or earnings for Coaches and does not interfere with User selections.
3.9. Multi-Coach Collaboration Rules – If multiple Coaches collaborate on workshops, revenue-sharing terms must be agreed upon in writing and submitted to Atmadhruti before the session.
3.10. Relationship Disclaimer – Coaches acknowledge that coaching services provided on Atmadhruti are for guidance, motivation, and life planning purposes only. Coaches shall not claim to provide medical, psychological, legal, or financial advisory services. Users requiring specialized services should consult relevant professionals.
4. COACH RESPONSIBILITIES & RESTRICTIONS
4.1. Professional Conduct & Code of Ethics – Coaches must adhere to ethical coaching practices and comply with internationally recognized coaching standards, such as those set by the International Coaching Federation (ICF) or similar professional bodies.
4.2. Confidentiality & Data Protection – Coaches must protect the privacy of User data and session details unless legally required or authorized by the User in written. In compliance with India’s Information Technology Act, 2000 and GDPR (for international coaches and users), Coaches are prohibited from retaining, storing, or using User data for purposes beyond the coaching sessions. Coach further agrees to adhere to applicable data protection laws, including the Personal Data Protection Bill (2021), and any other relevant data privacy regulations in India.
4.3. Mandatory Reporting Obligations – If a User discloses any threat of self-harm, harm to others, or involvement in illegal activity, the Coach must report such disclosures in accordance with applicable Indian laws, including the Indian Penal Code (IPC) and the Information Technology Act, 2000.
4.4. Coach-Initiated Cancellations – If a Coach cancels a session, they must offer an alternative time or process a refund.
4.5. Platform Discretion – Atmadhruti reserves the right to make final decisions on refund claims based on investigation and supporting evidence.
4.6. Service Performance Standards – Coaches must:
- Respond to inquiries within 48 hours.
- Maintain an average rating of 3.5/5 or higher based on User feedback.
- Follow scheduled coaching sessions without frequent rescheduling.
Failure to meet these standards may result in suspension or termination.
4.7. Maintenance of Records – The Coach will maintain records of coaching sessions, including notes, action plans, and any recommendations, which must be shared with the User upon request. The Coach agrees not to misuse, share, or sell any personal data of Users obtained through the Platform. All User data will be handled by Atmadhruti in compliance with the privacy policy.
4.8. Use of Platform Resources – Coaches must use Atmadhruti’s tools, analytics, and communication channels responsibly, ensuring no misuse or unauthorized access.
4.9. Promotional Content Compliance – Coaches may advertise their services but must ensure that promotional content aligns with Atmadhruti’s terms and policies and does not mislead Users about platform features or benefits.
5. INTELLECTUAL PROPERTY RIGHTS
5.1. Coach Content License – Coaches retain ownership of their content but grant Atmadhruti a perpetual, non-exclusive, worldwide license to use, display, and distribute their content for platform operations and promotional purposes.
5.2. Prohibited Use – Coaches may not use Atmadhruti’s proprietary tools, materials, or branding outside the platform.
5.3. Content Removal & Modification – Atmadhruti reserves the right to remove or modify any content that violates policies, infringes on third-party rights, or negatively impacts the platform.
6. SERVICE QUALITY & MONITORING
6.1. Performance Standards – Coaches must maintain high standards in session quality, response time, and User satisfaction ratings.
6.2. Review & Monitoring – Atmadhruti reserves the right to review coaching sessions and take appropriate action in case of repeated negative feedback or non-compliance with platform policies.
6.3. Quality Control Measures – Periodic evaluations and feedback assessments may be conducted to maintain service integrity and consistency.
7. PAYMENT TERMS & TRANSACTION SETTLEMENT
7.1 Fees per Session: The Coach will set their fees for each session, which will be clearly listed on their profile on the Platform. Atmadhruti will ensure that the User is aware of the session fee before the booking is made.
7.2 Commission Structure: Atmadhruti will retain a commission of 20 % of the Gross Payment from each coaching session. The remaining balance will be transferred to the Coach after the session is successfully completed.
7.3 Payment Schedule: Payouts will follow a predefined schedule usually on a monthly basis and transferred within 7 business days after the end of each month, subject to verification procedures. Payout timelines may vary for new Coaches while account verification is in process. Atmadhruti will provide a monthly statement detailing all transactions, session details, and commissions.
7.4. Settlement of Transactions – Atmadhruti will deposit the amounts in GBP (£) received for transactions (after deducting mutually decided commission rate, applicable platform fees and chargebacks) into the designated bank account of the Coach.
7.5. User Responsibility for Payment Monitoring – Coaches are responsible for monitoring their transactions. Any discrepancies must be reported within 30 days of the transaction date, failing which Atmadhruti will consider the settlement as final.
7.6. Transaction Holds & Investigation – Atmadhruti reserves the right to delay settlement or restrict fund access if an investigation is needed for suspected fraudulent activity, disputes, or legal compliance.
7.7. Chargebacks & Dispute Handling – If a User disputes a transaction, Atmadhruti may deduct the disputed amount, along with any associated fees, from the Coach’s balance. If a reserve is imposed, funds will be withheld until Atmadhruti determines it is safe to release them, based on the Coach's transaction history and a risk assessment. To protect against potential financial risks, Atmadhruti may also delay payouts or place restrictions on the Coach’s account. These actions are taken to minimize the risk of loss from chargebacks or other disputes, ensuring that Atmadhruti’s financial interests are safeguarded while the situation is resolved.
7.9. Taxes & Compliance – Coaches are responsible for compliance with applicable tax regulations in their respective jurisdictions and must report earnings as per tax laws. We will deduct TDS (Tax Deducted at Source) as per Indian tax laws, and the Coach agrees to provide the necessary tax documentation for this purpose. We will issue a TDS certificate at the end of the fiscal year.
8. REFUND & CANCELLATION POLICY
8.1. Refund Eligibility – Refunds for coaching sessions may only be granted to Users in cases where:
- The Coach fails to deliver the scheduled session.
- The Coach cancels a session without providing an alternative date.
- The User reports a serious breach of coaching ethics or misconduct.
The Coach will not be entitled to any payment for the cancelled session if it is due to their fault or non-performance.
8.2. Coach-Initiated Cancellations – If a Coach cancels a session, they must offer an alternative time or process a refund.
8.3. Refund Responsibilities – If a refund is granted to a User, Atmadhruti may deduct the refunded amount from the Coach’s earnings or future payouts accordingly.
8.4. Platform Discretion – Atmadhruti reserves the right to make final decisions on refund claims based on investigation and supporting evidence.
9. TERMINATION & ACCOUNT SUSPENSION
9.1. Termination by Coach: The Coach may terminate this Agreement at any time by providing 30 days' written notice to Atmadhruti. Any outstanding payments owed to the Coach shall be settled according to the terms of the commercial agreement between the Platform and the Coach and will be processed in the next payment cycle.
9.2 Termination by Organization: Atmadhruti may terminate this Agreement immediately under the following circumstances:
- The Coach breaches any material provision of this Agreement or any other terms or policies of the Website.
- The Coach engages in unethical or illegal behaviour.
- The Coach fails to meet engagement or content creation obligations.
9.3. Effect of Termination – Upon termination, the Coach must immediately cease using any of the Platform’s tools and content.
9.4. Post-Termination Restrictions – Coaches may not attempt to re-register under a different identity or solicit former clients from Atmadhruti for external coaching services. The Coach shall return all proprietary information provided by Atmadhruti and agrees to not use them against Atmadhruti or its business affairs.
10. Liability and Indemnification
10.1 No Guarantee of Results: Atmadhruti makes no guarantee of specific results or outcomes from the coaching services provided. The Coach acknowledges that the User’s success is based on their own efforts and the Coach’s guidance.
10.2 Limitation of Liability: Atmadhruti will not be liable for any direct, indirect, or consequential damages arising from the coaching services provided by the Coach. Atmadhruti is not responsible for any disputes, claims, or damages resulting from the actions or inactions of the Coach.
10.3 Indemnification: The Coach agrees to indemnify, defend, and hold harmless Atmadhruti from any claims, damages, losses, or legal fees arising out of the Coach’s actions, breach of this Agreement, or failure to comply with applicable laws.
11. DISPUTE RESOLUTION & GOVERNING LAW
11.1. Jurisdiction – This Agreement shall be governed by and construed in accordance with the laws of India and UK law.
11.2. Dispute Handling – Any disputes shall first be resolved amicably via mediation. If mediation fails, disputes will be subject to the exclusive jurisdiction of the courts in Kolkata, India.
12. MODIFICATIONS & CONTACT INFORMATION
12.1. Agreement Updates – Atmadhruti reserves the right to modify this Agreement. Coaches will be notified of significant updates and the Coach must accept the revised terms to continue using the Platform.
